These Terms and Conditions of Sale (hereinafter referred to as "the Terms and Conditions”) shall govern the sale of products by the company LABORATORIOS CONDA, S.A. (hereinafter, "CONDALAB") through the website www.condalab.com (hereinafter, the "Website") for their purchase by third-party companies.

1. Acceptance of the Terms and Conditions of Sale and access to the Website 

  

By using the services offered on the Website, clients accept these Terms and Conditions, which establish CONDALAB's and the clients' rights and obligations within the framework of the Website. These are the only Terms and Conditions applicable to the use of the Website (without prejudice to the fact that specific conditions may apply to certain services), as well as to the placing of orders through the Website, and replace any other terms and conditions unless previously accepted in writing by CONDALAB. 

  

The Services rendered through this Website are governed by: (i) these Terms and Conditions; (ii) the Specific Conditions that may be published on the Website (iii) the current and applicable laws, sector specific regulations, and general criteria and practices. 

  

Clients shall not be required to register on the Website when accessing it. However, in order to purchase any of the products offered by CONDALAB, users (hereinafter the "Client") shall be required to register on the Website in accordance with these Terms and Conditions. 

  

2. Purpose 

  

This Website has been developed by CONDALAB with the purpose of offering Clients the option to purchase chemical products and culture media for microbiology and biology application (hereinafter referred to as "Products"). 

  

The purpose of these general terms and conditions is to regulate the purchase and sale of Products, only intended for Clients who carry out activities related to the Products offered by CONDALAB through its Website. 

  

3. Requirements  

 

3.1 Requirements: 

 

The Website offers the Client the possibility of creating an account through an online form to be filled in with the required data. 

 

To place an order, it is necessary to have registered as a Client or to do so when placing the order (hereinafter "the Client Account”) 

 

In this respect, the Client shall: 

 

  1. Include their true, exact, current and complete details as requested in the registration form of the Website or when placing the order, and keep them updated. Among others, include their name and surname, e-mail address and password in the registration application form. 

 

  1. Diligently protect the "username" and "password" provided by CONDALAB, assuming responsibility for any damages that may arise from their improper use 

 

3.2 Client Account: 

 

In order to access the Client Account, the Client shall correctly fill in all data requested on the Website's form, as well as the documents required to verify their accuracy. 

  

In the event that the Client registers with false data, or does not provide the required documentation, they shall not be able to access their Client Account. The use of third-party data without their prior consent is strictly forbidden. 

  

4. Client access conditions 

  

The Client shall be fully responsible for how their Client Account is used. Consequently, the Client shall be responsible for the proper safekeeping and confidentiality of their access username and/or passwords, and they agree not to transfer the credentials to third parties, either temporarily or permanently, nor to allow third parties to access them.  

  

By virtue of the above, the Client shall immediately notify CONDALAB of any improper use of their Client username and/or password, in the event of circumstances such as theft, loss or unauthorized access to the same, so that CONDALAB may cancel or block and/or disable the Client's Account as soon as it is confirmed the latter has been improperly used. As long as such facts are not communicated to CONDALAB, it shall be exempt from any liability that may arise from the improper use of usernames and / or passwords by unauthorized third parties. 

  

5. Use of the Website and reservation of rights 

  

The Client agrees to make lawful, diligent, honest and correct use of any information or content accessed through the Website, and all under the principles of good faith and respecting at all times the law in force and these Terms and Conditions. 

  

It is forbidden for minors to access and use the Website without the express consent of their parents. CONDALAB shall not be liable for the truthfulness and accuracy of the data entered by the user, being unable to verify their age.  

  

Specifically, the Client agrees: 

  

  1. Not to enter, store or disseminate within or from the Website, any information or material that is defamatory, injurious, obscene, threatening, or xenophobic; or material which incites violence or discrimination on the grounds of race, sex, ideology, religion or that in any way violates morality, public order, fundamental rights, public freedoms, honor, privacy or image of third parties and, in general, of the regulations in force. 

  

  1. Not to enter, store or disseminate via the store's website any program, data, virus, code, or any other electronic or physical device that could harm the Website, or any of the services, equipment, systems or networks part of Condalab.es, of any other user, of the suppliers part of Condalab.es or, in general, of any third party. 

  

  1. Not to destroy, alter, use for their own, disable or damage the data, information, programs or electronic documents of CONDALAB, its suppliers or third parties. 

  

  1. Not to carry out advertising activities or commercial exploitation through the website, and not to use its content and information to carry out advertising, or send messages with any other commercial purpose, nor to collect or store third-party personal data.  

 

  1. Not to use false identities, nor impersonate others while using the website or any of its services, including using third-party passwords or access codes or in any other way.  

  

CONDALAB reserves the right to remove those Clients who are misusing their Client Account, carrying out fraudulent acts or who harm or might harm other Clients. 

  

Should CONDALAB detect any anomaly or reasonable grounds are found proving that a Client is carrying out any fraudulent acts which are against good faith and these Terms and Conditions, CONDALAB reserves the right to remove that Client, including all those benefited directly or indirectly from that action, and may also take any appropriate legal action. 

  

In this sense, CONDALAB declares to have set up the appropriate mechanisms to detect any possible fraudulent, anomalous or malicious actions that may attempt to alter the general conditions for the use of the Client Account. 

  

CONDALAB reserves the right not to grant Access to a Client Account when it has reasonable and substantial grounds for believing that a Client has breached these Terms and Conditions. 

  

Neither Party shall be held liable for any failure to fulfill, in whole or in part, or delay in the fulfillment of the obligations under this agreement caused by any external cause beyond its control. 

  

Force majeure is considered to be those cases that meet the characteristics expressed in Article 1.105 of the Civil Code and, in addition, all cases that are beyond the control of the Parties. 

  

6. Information on products and services 

  

Product descriptions included on the Website are for information purposes only and are provided by CONDALAB's suppliers. 

  

CONDALAB denies any responsibility for the errors contained in such information, although it undertakes to take all measures within its power to correct as soon as possible any errors and/or omissions that may exist after having become aware of them. 

  

7. Orders and conditions of sale 

 

To make a purchase, the Client must have access to a Client Account. 

 

Clients may cancel and modify, free of charge, an order within the order processing period, provided that the goods have not been dispatched from CONDALAB's warehouses. This would stop the order from being prepared in the warehouse and it would not be forwarded to the courier platform. To cancel an order, use our form available at the following email address: contact@condalab.com 

 

If the Client decides to cancel and/or modify the order after it has been dispatched from the warehouse and has already been delivered to the transport company, the cancellation and/or modification cost shall be assumed by the Client. The cost shall be communicated by CONDALAB when the Client decides to make this change/modification after the Product has been dispatched from the warehouse. In any case, the cost shall depend on the destination from which the Client placed the order and the shipping method chosen by the Client. 

 

Both the confirmation of the order and any other communication shall be sent to the e-mail address indicated by the Client. 

  

For any query on the online sale, the Client shall be able to contact CONDALAB's after-sales service through any of the means indicated on the Website: https://www.condalab.com/int/en/contact-us or by sending an e-mail to the e-mail address contact@condalab.com 

  

CONDALAB may provide technical support and information on possible applications and technical characteristics of its products free of charge, not assuming any guarantee, express or implicit, for the provision of advice and information, with regard to technical characteristics, use, selection or suitability of the products. 

  

8. Product Prices 

  

The price to be paid by the Client for the Products shall be as indicated in the "Order Confirmation". 

 

The prices foreseen for the Products shall be fixed in Euros (€) and shall not include the corresponding VAT or tax.  

 

Once the order has been completed, the Client shall proceed to pay through the methods of payment specified in section 9 of these Terms and Conditions of Sale. 

 

Once the order has been placed, the Client shall receive an e-mail confirming the order, which shall include a summary of the products purchased, the method of payment requested, as well as the type of delivery requested and the destination address. 

 

Shipping expenses and, where applicable, cash on delivery, are not included in the product price unless expressly stated otherwise in the specific Product. These shall be paid for by the Client and added to the total amount of the order. The Client shall be able to check the amount in the shopping basket at any time, before confirming the order and completing the process. These expenses shall depend on the volume and weight of the items. 

 

CONDALAB reserves the right to modify and revise Product prices at any time if the conditions so require. If the price change is not accepted, the order shall be cancelled, unless an agreement is reached between CONDALAB and the Client. 

 

Therefore, when paying for the order, its total price shall be detailed, including the fees for shipping expenses. 

  

The Client shall notify CONDALAB of any undue or fraudulent charges on the card used for the purchase by email to contact@condalab.com in the shortest possible time, so that CONDALAB may carry out the appropriate procedures. 

  

9. Payment methods 

  

CONDALAB only accepts payments made by credit or debit card. 

  

Once the payment is verified, CONDALAB shall process your order. Payment is considered effective once the corresponding amount has been deposited in the CONDALAB bank account. 

  

In the event that the POS (Point of Sale Terminal) declines the card used in the purchase process, the order shall be automatically canceled and the Client shall be informed of this cancellation online.  

  

In the event that the bank charges any kind of commission to CONDALAB, the company reserves the right to charge the Client for it. 

  

Your credit or debit card details are only used while processing your order. Once the transaction is completed, data is destroyed. All credit card payments are processed through a safe server that guarantees the confidentiality of personal data that travels through the network by means of cryptographic techniques. 

  

For security reasons and to prevent possible fraud, in some cases CONDALAB may require additional verifications. In such case, you may contact the Client by phone or e-mail to request additional documentation that must be provided to CONDALAB within 48 hours to validate the order. We are sorry for the inconvenience this process may cause you, but with these measures we protect the security of your credit cards. 

  

10. Shipping and losses conditions 

  

CONDALAB's products are shipped throughout the European Union / peninsula.  

  

CONDALAB is committed to deliver the products in conditions that guarantee their quality and in accordance with the manufacturer's shipping instructions.  

  

The products shall be delivered to the address indicated by the Client on the order form within the usual time of delivery of goods. CONDALAB shall not be held liable for delivery errors when the delivery address provided does not correspond to reality, is false or has been omitted. 

  

The shipping expenses are not indicated in the price of the Products, as indicated in point 8 regarding the price of the Products. 

  

The Client must communicate in the order form any circumstance that could delay the delivery, such as: schedules, absences, local festivity or others. 

  

In any case, the Client must check the good condition of the product in the presence of the carrier who makes the delivery, indicating on the delivery note any anomaly that could be detected.  

  

Delivery service in Peninsular Spain 

  

The Client shall receive the Product purchased through the Website in a maximum of days from the moment CONDALAB confirms the reception of the order request.  

  

CONDALAB informs that no deliveries shall be made on Saturdays and Sundays or on national or community holidays, or on those days that coincide with local holidays that could affect the related transport activities.  

  

The Client must take into account that on certain dates and periods of the year (Christmas, black Friday, holidays, etc). The delivery time of shipments may be affected by the saturation of the means of transport.  

  

In the event that the Client cannot be located at the address informed, the courier company shall leave a notice indicating where the order can be found and the steps to pick it up.  

  

As previously mentioned in these Terms and Conditions, shipping expenses are not included in the price of the Products. However, the Client shall be informed of these costs prior to the purchase of the Product.  

  

11. Return Policy. 

  

The Client must inspect the Products received within 2 days of reception. The received products shall be considered as accepted unless the Client notifies CONDALAB in writing of the Non-Conforming Products during the Inspection Period, presenting proof or other documentation if necessary. 

The Client, in any case, must communicate in writing to CONDALAB, sending an e-mail to contact@condalab.com within 48 hours. 

 
The e-mail should contain: 

 

  1. The detail of the order. 

 

  1. Batch. 
     

  1. Expiration date. 
     

  1. Product units.  
     

  1. Purchase number, 
     

  1. Photographs of the Products if necessary.  

  

CONDALAB shall reply to the email with instructions for its return. The response time may vary depending on the workload, but the time ranges from 2 to 5 days. 

 

For cases in which it is a matter of quality, the period for requesting the return of the Products cannot exceed 14 days from the date of receipt, after which CONDALAB may not accept the return. 

 

Nevertheless, the Client shall bear the costs of returning the Products (such as shipping expenses of courier companies),whether the order is completely or partially returned. The means and form of shipment for the returns of said products shall be the one chosen by the Client. 

  

The return of products with manufacturing defects shall not involve any additional cost for the Client. 

  

Likewise, CONDALAB is not responsible in case that the Client sends the order to an address that does not correspond to those previously indicated. 

  

The Product must be unused and with all its labels, packaging and -if applicable- documentation and original accessories that came with it. If the Client does not follow these requirements, or if the Product has suffered any damage, the Client accepts that the product may suffer a depreciation or that CONDALAB may refuse the refund. 

  

Once CONDALAB verifies that the order is in good condition, all the amounts paid by the Client shall be returned as soon as possible and, in any case, within 48 hours after the delivery of the order. CONDALAB shall notify payments related to Product refunds via e-mail, together with its receipt. 

  

Likewise, CONDALAB reserves the right not to accept Product refunds with open packaging seals. As the product was delivered sealed, refund is not possible in these cases. 

  

Refunds shall not be accepted without CONDALAB's written confirmation. 

  

12. Cancellation of orders by CONDALAB. 

  

CONDALAB reserves the right to reject or cancel any order, or to not accept a confirmed order for, among other reasons, the following 

  

  1. A technical or pricing error occurred on the Website when the order was placed;  

 

  1. The Product listed in the order is not available; 
     
      

  1. The payment information provided was incorrect or unverifiable;  
     
      

  1. Security systems indicate that the order is abnormal or may be fraudulent; or  
     
      

  1. CONDALAB has not been able to deliver the order to the address provided after two attempts. 

  

  

13. Exclusion of liability. 

  

CONDALAB does not grant any warranty nor it can be held liable, in any case, for damages of any nature that may arise from the use of the Website by the Client. 

  

Among others, and merely as an example and not as a limitation, CONDALAB cannot be held liable for: 

  

  1. Breakdowns and incidents caused by lack of Clients' due diligence, or by Website improper use. 

 

  1. Unavailability, lack of maintenance and effective operation of the Website, excluding, to the maximum extent permitted by legislation in force, any liability for damages of any kind that may be due to the Website's unavailability or lack of operational continuity. 

 

  1. The Client's illicit, negligent or fraudulent use of the Website, contrary to these Terms and Conditions, or to good faith. 

 

  1. Force majeure, such as service or Website use failure, suspension or interruption caused by Internet network blocking, third party actions or omissions, or any other cause or circumstance independent of CONDALAB's will which may prevent the Website's normal operation. 

 

  1. Website's service cancellation or suspension by causes not attributable to CONDALAB. 

 

  1. Delays in order delivery due to causes beyond CONDALAB's control. 

 

  1. Clients wishing to make returns and cancel orders outside periods set out in these conditions. 

 

  1. Delays during order shipment due to causes beyond CONDALAB's control (weather circumstances...) and/or circumstances attributable to third parties. 

 

  1. Clients' use of products purchased through the Website. 

 

  1. Misuse or bad preservation of products acquired through the Website. 

  

In any case, CONDALAB is committed to solve any issues that may arise, offering all necessary support to the Client, in order to reach a quick and satisfactory solution to the incidence. 

  

Intellectual property 

  

All rights over content, design and source code of this Website and, in particular, but not limited to, all the rights over the photographs, images, texts, logos, designs, brands, commercial names, data included on the Website and any other intellectual property rights are owned by CONDALAB, or by third parties who have expressly authorized CONDALAB to use them on the Website. 

  

For this reason, and by virtue of the provisions on Royal Decree-Law 1/1996 of 12 April, which approves the revised text of the Intellectual Property Law, regularizing, clarifying and harmonizing legal provisions in force on the subject (hereinafter, "Intellectual Property Law"), as well as Law 17/2001 of 7 December on Brands and complementary legislation on intellectual property, the reproduction, transmission, adaptation, translation, distribution, public communication, including the method of making available, of all or part of the Website content, by any technical or general means, is expressly prohibited, without CONDALAB's express written authorization. 

  

CONDALAB does not grant license or use authorization of any kind over its intellectual property rights or over any other property or right related to the Website, and in no case shall it be understood that Clients' access and navigation of it implies waiving, transmission, licensing or total or partial transfer of said rights by CONDALAB. 

  

It is therefore forbidden to use CONDALAB's website for public or commercial purposes and, therefore, website's content may not be exploited, reproduced, distributed, modified, publicly communicated, transferred, transformed or used. 

  

Any use of these contents not previously authorized by CONDALAB shall be considered a serious breach of intellectual property rights and shall give rise to legally established liabilities.  

  

14. Hyperlinks. 

  

The introduction without prior consent of hyperlinks for commercial purposes in web pages not belonging to CONDALAB, which allow access to our website, is expressly prohibited. In any case, the existence of hyperlinks on Websites other than ours, shall not imply in any case the existence of commercial or mercantile relations with the owner of the website where the hyperlink is established, nor CONDALAB's acceptance of its content or services. 

  

CONDALAB's website may contain hyperlinks that allow Clients to access third party websites. CONDALAB is not liable for the content, information or services that may appear on said sites, which shall be understood to be offered exclusively for information purposes by CONDALAB, and which in no case imply any relationship, acceptance or support between CONDALAB and the persons or entities that own such content or the owners of the sites where they are found. 

  

15. Modifications. 

  

CONDALAB reserves the right to make as many modifications to these Terms and Conditions of Sale as deemed appropriate, in which case the Clients shall be informed in advance. 

  

16. Applicable law and jurisdiction. 

  

These Terms and Conditions governed by and construed in accordance with Spanish law. The Courts and Tribunals of Madrid shall be competent to resolve any claim or controversy that may arise in relation to the interpretation or compliance with these Terms and Conditions of Sale, expressly waiving any other jurisdiction.
